Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") govern your use of the VoiceReel mobile application and related services (collectively, the "App"), provided by Ainos Technology ("Ainos", "we", "us", "our"). By downloading, installing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, if higher) to use the App. The App is not directed to children.

2. The Service

VoiceReel is a content-creation tool for short-form video. It lets you:

• Browse and play pre-built scripted scenes.
• Trigger a simulated ("fake") incoming call on your own device — for example, as a personal scheduling reminder or to record scene content for videos.
• Apply on-device voice effects to audio you record.
• Generate AI scripts and AI voice audio after signing in (this consumes credits).

The App does not place real telephone calls, send real text messages, spoof phone numbers, or contact any other device or person. Simulated calls ring only your own device; on iOS, a scheduled call is normally delivered to your device by a push notification from our servers.

3. License to Use the App

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for your own lawful purposes. You may not:

• Copy, modify, reverse-engineer, decompile, or create derivative works of the App, except as permitted by law.
• Resell, sublicense, or commercially exploit the App or access to it without our written permission.
• Use the App in any way that violates applicable law or these Terms.

We and our licensors retain all rights, title, and interest in the App, including all intellectual property rights in its software, design, pre-built content, and brand. "VoiceReel" and our logos are our marks.

4. Accounts and Anonymous Use

You can use most of the App anonymously. Some features (AI generation) require you to sign in with Apple or Google. You are responsible for activity that occurs under your account and for keeping your sign-in credentials secure. You must provide accurate information and not impersonate others or create accounts to evade limits, bans, or abuse controls.

5. Acceptable Use

You agree not to use the App, including its fake-call, voice-effect, and AI-generation features, to:

• Harass, threaten, defraud, deceive, defame, or harm any person.
• Impersonate real police, government officials, emergency services, or other authorities; impersonate real, identifiable individuals (including celebrities or public figures) in a deceptive or harmful way; or otherwise deceive a third party to their detriment.
• Create or distribute content that is illegal, hateful, violent, sexually explicit, sexualizes minors, promotes self-harm, or targets protected groups.
• Stage emergencies, swatting, blackmail, scams, or any deceptive scheme that could cause real-world harm.
• Infringe anyone's intellectual property, privacy, or publicity rights.
• Circumvent, disable, or interfere with security, abuse-prevention, rate-limiting, or content-moderation features.
• Abuse the credit, rewarded-ad, or purchase systems, including through automation, multiple accounts, or fraud.

You are solely responsible for the content you create, generate, record, and share using the App, and for how you use it. You are responsible for obtaining any consent required before recording, generating audio that resembles a real person, or sharing content involving others. Content moderation is applied to AI generation, but you remain responsible for your own use of all features and outputs.

6. AI-Generated Content Disclaimer

AI script and voice generation are powered by third-party AI models (OpenAI and ElevenLabs). AI output is generated automatically and may be inaccurate, nonsensical, offensive, or unexpected. We do not guarantee the accuracy, suitability, or originality of AI-generated content. AI output is provided for entertainment and creative use only and is not professional, legal, medical, financial, or other advice. You are responsible for reviewing AI-generated content before relying on or publishing it, and for ensuring your use complies with the platforms you publish to and with applicable law.

7. Credits, Subscriptions, and Purchases

AI generation consumes in-app "credits." Credits are character-based: the cost of generating voice audio depends on the number of characters and the voice model used, and the credit cost of each action is shown before you confirm. There are no free credits: no credits are granted on sign-in, account creation, or first use. Credits can be obtained only (a) through in-app purchases, namely the credit allotment included with each subscription billing period and credit packs (available to active subscribers), and (b) by watching rewarded ads (subject to daily limits). Credits have no monetary value, are not redeemable for cash, and are non-transferable. Unused credits do not expire while your account remains active, but they are forfeited if your account is deleted. We may adjust credit costs, grants, and limits over time.

• Auto-renewal: Subscriptions automatically renew at the then-current price for the same period unless you cancel at least 24 hours before the end of the current period. Your payment method is charged at confirmation of purchase and at each renewal.
• No free trial: Subscriptions do not include a free trial or introductory free period. You are charged the full subscription price when you confirm the purchase.
• Cancellation: You manage and cancel subscriptions through your Apple ID or Google Play account settings — not within the App. Cancellation takes effect at the end of the current billing period; you keep access until then.
• Restore: You can restore previous purchases from the App’s settings.
• Refunds: Purchases are generally final. Refunds are handled by Apple or Google according to their respective policies; request refunds through the platform where you bought. Where a refund is issued, we may revoke the corresponding credits or entitlements.
• Price changes: We may change prices, plans, and credit allocations. Price changes apply to future billing periods and, where required by Apple or Google, are subject to your consent or advance notice.

All purchases are processed through Apple’s App Store or Google Play, and subscription management is supported by RevenueCat. We do not process or store your payment card details.

8. Advertising

The App may show rewarded video ads (via Google AdMob) that you can watch in exchange for credits. Ad availability and the credits granted are subject to limits described in the App. Ads are served by third parties subject to their own terms and privacy practices.

9. Service Availability and Changes

We may add, change, suspend, or discontinue features at any time, and we may impose or change limits (such as generation limits, rate limits, and content rules) to protect the service. We aim to keep the App available but do not guarantee uninterrupted or error-free operation. Maintenance, outages, or third-party provider failures may affect availability.

10. Termination

You may stop using the App and delete your account at any time from the App’s settings. We may suspend or terminate your access if you violate these Terms, abuse the service, or create legal or security risk. On termination, your license to use the App ends. Sections that by their nature should survive termination (including ownership, disclaimers, liability limits, and governing law) survive.

11. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL MEET YOUR EXPECTATIONS. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AINOS TECHNOLOGY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD 50. Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as liability for death or personal injury caused by negligence, or for fraud). If you are a consumer, these limits do not affect your mandatory statutory rights.

13. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Ainos Technology from claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the App, your content, or your violation of these Terms or applicable law.

14. Third-Party Services and Platforms

The App relies on and links to third-party services (Apple, Google, OpenAI, ElevenLabs, RevenueCat, AdMob, and others described in our Privacy Policy). Your use of those services may be subject to their own terms. We are not responsible for third-party services. Your use of the App through the App Store or Google Play is also subject to those platforms’ terms, which prevail over these Terms to the extent required by the platform.

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws rules, and the Edirne Courts and Enforcement Offices will have jurisdiction over disputes, except where mandatory consumer-protection laws of your country of residence (including EU consumer law for EU residents) grant you the right to bring proceedings in, or rely on the protections of, your home jurisdiction. Nothing here deprives you of mandatory legal protections that cannot be waived by agreement.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you in the App. Continued use of the App after an update means you accept the revised Terms.
